In 2012, Caterpillar completed its acquisition of ERA Mining Machinery Ltd., a Hong Kong–listed company whose primary operating subsidiary was Zhengzhou Siwei Mechanical & Electrical Manufacturing Co., Ltd., known as Siwei. The headline issue in the Siwei case was accounting misconduct in a subsidiary. That is a control failure. But the deeper vulnerability is more general and far more common.
